SMARTERwebsites will provide a full written quotation, free of charge, to include a full breakdown of costs and services.
Quotations will include an approximate timescale for development and all quotations will be valid for 14 days from the date shown on the quotation.
WEBSITE DESIGN
Upon acceptance of the quotation by the client, SMARTERwebsites will send an invoice for 33% of the final anticipated total. This must be paid within 7 days, SMARTERwebsites will acknowledge receipt of the payment and provide a commencement date. Upon receipt of the first payment, SMARTERwebsites will then develop the client website to the required specifications as set out by the client. On completion of stage two of the Website agreement the second payment of 33% of the final total will become due. When the website is complete, an invoice will be sent out for the remainder of the payment.
SMARTERwebsites reserve the right to not release any files until payment has been received in full. The completion date will
be the date that the website will be posted onto the Internet. Please note that the website will NOT go live until full payment is received.
SUPPLYING INFORMATION
The client is responsible for producing all textual information in either text (.txt) or Microsoft Word (.doc) format. The client
will supply any images, photographs or logo's in either .gif, .png or .jpg format. Images are not to exceed 4MB in file size. If
any media is over 4Mb in file size, SMARTERwebsites may request the client transfer all files to CDR media for postal delivery.
MAINTENANCE/UPDATES (Maintenance Agreement)
If requested SMARTERwebsites undertakes to maintain/update websites and submit the website to the major Search Engines at regular periods as agreed with the client. This is subject to additional fees and is not included in the original quotation.
COPYRIGHT
The copyright for all material provided by the client, such as graphics, photographs, logos and text, would remain with the
client. The client will give SMARTERwebsites the right to publish and use this material for the purpose of website construction.
The copyright for all material provided by SMARTERwebsites, such as graphics, photographs and text, will remain the property of SMARTERwebsites until such time as payment has been made in full. SMARTERwebsites will grant the client permission to use this material pending payment. Upon receipt of payment, SMARTERwebsites will transfer copyright to the client.
Clients must obtain permission from SMARTERwebsites to use any material, which is copyright of a third party. The client will
agree to indemnify and hold harmless SMARTERwebsites from all claims resulting from the client's negligence or failure to obtain permission to use such copyright material.
PAYMENT TERMS/DEFAULT
Accounts remaining unpaid after 30 days from the date of the invoice will be deemed to be in default until such time as full
payment is received. SMARTERwebsites will at its discretion, disable or remove websites and other files for any client in default of payment.
If an account remains unpaid after 56 days of the invoice Date, then SMARTERwebsites will commence legal proceedings
to recover the debt. The client will be held liable to all costs incurred by SMARTERwebsites in recovering the debt and the
website (if not already) will be suspended until the debt is recovered in full.
TERMINATION
If for any reason (except breach of UK/US laws by the website owner) SMARTERwebsites has to terminate a service such as
hosting, we will give 7 days notice of our intention to terminate the account. We will provide the client with a full (offline)
copy of the website, and attempt to arrange hosting or other services elsewhere on the clients behalf.
LEGALRESTRICTIONS
SMARTERwebsites reserve the right to refuse to maintain, or service any website being used in violation of UK/US laws.
Dependant on the Clients Country of origin.
